Alexander Daniels is delighted to be recruiting for an M&A and Corporate Finance Manager to join an established and highly reputable business based in Derbyshire.

This role is operable out of several offices and my client is flexible on the location for the right candidate. This role will support the CFO, the wider finance team and operational business units, main focus will be to support the company’s merger, acquisitions, and wider corporate finance work within the Finance Team.

The Business is looking for a driven and motivated ACA Qualified professional to join them as M&A and Corporate Finance Manager on a permanent basis. Key deliverables for the M&A and Corporate Finance Manager will include:

  • Merger and acquisitions – supporting the CFO and the UK senior management team with:
  • Target identification with advisors and shortlisting
  • Reading and analysing teasers and IMs
  • Managing process for internal review and feedback on IM internally and with sell side advisors
  • Meeting with sellers/target management
  • Support with target transaction structure, valuation and LOI drafting and completion process.
  • Working with our advisors on service scope, terms, IRL, due diligence review and feedback and assessing any implications on valuation
  • Agreeing EBITDA adjustments, target working capital, debt, and other key financial matters
  • Internal process management in terms of managing internal due diligence work streams.
  • Planning for post-completion integration – working with internal team and target management
  • Preparation of “go/no go” presentations post-due diligence.
  • Management of transaction legal processes
  • Completion process
  • Post completion administration
  • Locked Box/Completion Accounts review and “true up” payment process.
  • Management of earn-out valuation and put and call option processes.
  • Executing and managing/controlling the agreed integration plan
  • Executing financial aspects of integration
  • Managing recharging of costs to acquired entities.
  • Corporate finance:
  • Management of existing Management Incentive Plans (MIPs)
  • Design and implementation of a planned new divisional MIP with advisors
  • Management of MIP equity/share valuations, Group MIP MI reporting, forecasting equity valuations and leaver and new investor processes
  • HMRC reporting
  • Management of corporate banking relationships and projects
  • Management of Group/external borrowing arrangements and internal cash pooling interest charges

What are we looking for?

  • ACA qualified with Degree in Finance, Economics, Banking, Accounting or similar.
  • Minimum 5 years of M&A and Corporate Finance experience
  • Strong knowledge of mergers and acquisitions, company valuations, transaction structures and processes and technical elements of transactions
  • Strong knowledge of the key drivers of equity value growth
  • Core knowledge of Information Management systems
  • Proven track record of significant involvement in company and business transactions, both on the buy and sell side.
  • Understanding of management share schemes and how they operate
  • Understanding of other equity/debt/corporate finance-related projects.
  • Understanding of corporate banking
